Start with the transaction

A useful classification review identifies the asset, the rights offered, the representations made and the activities performed. An asset label does not settle every legal question. The analysis should address the transaction and relevant time period rather than treating all tokens alike.

The SEC’s April 2026 educational overview explains that an offer or sale may be subject to securities law where an investment contract is involved. It describes the Howey elements and the significance of issuer representations or promises. See SEC: Transactions Involving Crypto Assets.

Use current guidance with the right status

An official document may be a statute, a rule, Commission interpretation, staff guidance or educational material. These are not interchangeable. A careful legal review identifies both the source and its status before relying on a proposition.

The September 2026 Division of Corporation Finance FAQs expressly state that they are staff views without legal force or effect. They should be distinguished from the Commission’s March 2026 interpretive release. See SEC staff FAQs and the Commission interpretive release.

Commodities and derivatives questions

The CFTC distinguishes its authority over fraud and manipulation in spot digital commodity markets from its broader authority over derivatives markets. That distinction matters when assessing a product, the alleged conduct and the regulator’s role. See CFTC: Digital Asset Frauds.

The presence of regulatory authority does not itself establish a private cause of action, liability or compensation entitlement. A proposed civil claim needs its own legal and factual assessment. A regulator’s warning should not be presented as a judgment on every possible allegation.

From classification to a matter assessment

Counsel should examine the actual offer, agreement, conduct and loss alleged, together with jurisdiction and procedural issues. Evidence of promotion, custody, control and payment may answer different parts of that assessment. A technical report should be evaluated for what it supports and what remains unproven.
